Nature and acceptance of the Terms of Service

We recommend that you carefully read our Terms of Service before registering. The Terms of Service together with the Privacy Policy constitute the contract (the “Contract”) which regulates the relationship between the user (the “User”) and NET PERFORMANCE LTD, Company Number BG206365011 based in Sofia 1000, blvd.Alexandar Stamboliyski 38, floor 2,apartment 7 (hereinafter also referred to as “NET PERFORMANCE LTD”).
The Terms of Service constitute, in particular, general contract conditions and are legally binding from the moment of conclusion of the Contract itself, between the User and NET PERFORMANCE LTD, relating to access and registration to the Sites.
This document (in addition to the Privacy Policy) is considered concluded unconditionally and irrevocably when the User accepts the Terms of Service during registration (explicit acceptance).
In the event that the User does not wish to accept these Terms of Service, in whole or in part, he is invited to exit the Site and stop registering.
Registration involves the provision of presentation of the services provided by NET PERFORMANCE LTD partners; in this case it will be necessary to accept the terms of service of the partners of NET PERFORMANCE LTD.
NET PERFORMANCE LTD is not responsible for the correct execution of the service provided by NET PERFORMANCE LTD partners.

1.Definitions

For the purposes of these Terms of Service, the terms indicated below, where indicated with a capital initial letter, will have the following meaning (with the clarification that the terms defined in the singular must be understood as also referring to the plural and vice versa):
(i) “User”: is the person who registers as a Registered User.

2. Object

2.1 NET PERFORMANCE LTD operates in the capacity of facilitator of the meeting between supply and demand, remotely, of discount vouchers, promotions, competitions and offers. NET PERFORMANCE LTD and the owners of the brands to which the discount coupons and promotions refer (the "Brand Owners") are entities who act independently and on their own behalf. NET PERFORMANCE LTD, therefore, is not responsible for the correctness of any of the activities carried out by the Brand Owners, as the same activities are to be attributed exclusively to the Brand Owners.

2.2 Registration, taking place on the basis of an act of a contractual nature, presupposes that the User is of age and has the capacity to act or, in the case of minors or incapable of acting, that he is duly authorized by the subject to this required by law.

3.Registration

3.1 To use the services reserved for registered Users, the User must register by entering the data requested on the registration page (by way of example and not limited to: telephone number, name, surname, date of birth, city, address, postal code, etc.) and completing the registration process indicated therein.

3.2 Failure by the User to fill in all the fields indicated by NET PERFORMANCE LTD as 'mandatory' during registration will not make it possible for the User to use the services reserved for registered Users.

3.3 Upon registration, the User declares that the personal data provided are true and assumes all civil and criminal liability for any falsity thereof.

3.4 The User undertakes to substantially and procedurally indemnify NET PERFORMANCE LTD, keeping it harmless from any loss, damage, liability, cost or expense, including legal fees, with respect to any claims of third parties deriving from the illicit use of the personal data of others .

3.5 There is no right to registration. NET PERFORMANCE LTD reserves the unconditional right to cancel the registration without giving reasons.

3.6 When entering third party data, where this is made possible by law, the User assumes all responsibility for their accuracy.

4. Changes to the Terms of Service

These Terms of Service may be subject to additions or changes in order to make them adequate with respect to any technical and/or operational changes made to the Sites. It is therefore advisable to periodically check this document to stay updated.

5. Interpretation The technical-IT terms contained in these Terms of Service must be interpreted in the common sense and in the current meaning that they have in the IT field of reference.

6. Intellectual property

6.1 All intellectual property rights relating to the Sites belong exclusively to NET PERFORMANCE LTD.

6.2 Reproduction, communication to the public, modification and any other act of use of the services and contents owned by NET PERFORMANCE LTD for purposes other than and beyond their private and personal use are prohibited.

6.3 All other names, signs or other symbols present in communications sent by NET PERFORMANCE LTD may be trademarks registered by their respective owners. The unauthorized use of these signs may constitute a violation of the rights of the respective owners, and as such, prosecutable.

7.Responsability limitations

7.1 NET PERFORMANCE LTD is not responsable of any possible problems linked to incorrect execution of services and to quality of goods sold by Brand Owners, being the same activities to be attribitues exclusively to Brand Owners and being NET PERFORMANCE LTD nothing more than a mere facilitator of the meeting between supply and demand, remotely, of discount coupons and promotions. Following the facilitation of the meeting between remote supply and demand, of discount coupons and promotions, a direct contractual relationship to which NET PERFORMANCE LTD is totally unrelated is established between the User and the Brand Owners.

7.2 The User undertakes to substantially and procedurally indemnify NET PERFORMANCE LTD, keeping it harmless from any loss, damage, liability, cost or expense, including legal fees, in reference to any possible malicious or negligent conduct of the Brand Owners.

8.User responsability

Any violation of present Terms of Service by the User will result the immediately resolution of the Contract end the cancellation of the User registration.

9.Disability or partial ineffectiveness of Terms of Service

Whenever one or more clauses of present Terms of Service are considered null, voidable, invalid or anyway ineffective, under no circumstances such nullity, voidabiolity, disability, or ineffectiveness will take effect on the remaining clauses of Terms of Service, which wioll remain completely valid and effective.

10.Applicable law and arbitration.

The interpretation and the execution of the present Terms of Service and the Contract, as well as relationships between the resulting parts arising therefrom are governed by Bulgarian law.
